Terms of service.

The agreement between your firm and Lanting Digital LLC for using LedgR, in plain words. It covers the app at my.clientledgr.app, the LedgR phone app and LedgR Helper for the Mac.

Who this is with

  • The agreement

    These terms are an agreement between Lanting Digital LLC (“we”, “us”), which makes and runs LedgR, and the firm that signs up (“you”, “your firm”). The person who creates the firm accepts them for the firm and confirms they may do so. The privacy policy is part of this agreement.

  • Your team

    The firm’s owner invites the people who use LedgR and decides what they can do. Your firm is responsible for what its people do in LedgR, for keeping their Google accounts secure, and for removing anyone who leaves. LedgR is for running an advisory practice; it is not for personal or household use.

Plans and payment

  • What it costs

    The prices on the pricing page apply: $75 a month for the firm with an assistant included, $25 a month for each extra person, and for founding firms a one-time $1,000 setup. Custom work is quoted separately and agreed in writing. Prices are in US dollars and do not include any sales tax that applies.

  • Billing

    Billing is monthly, in advance, through our payment processor, Stripe. When people join or leave your team, the next bill reflects it, prorated for the part of the month that is left. The setup fee is charged once, when the firm starts, and is not refunded once setup has begun. If a payment fails we will tell the owner and try again; if it is still unpaid after 14 days we may pause the firm’s access until it is settled. Nothing is deleted while access is paused.

  • Price changes

    We will give the owner at least 30 days’ notice by email before a price changes. The new price applies from the first bill after the notice period, and you can cancel before then.

  • Cancelling

    There is no contract term. The owner can cancel any time from Settings or by writing to us; LedgR stays open until the end of the month already paid for, and nothing more is charged. Months already paid are not refunded.

Your firm’s records

  • They are yours

    Everything your firm puts into LedgR, or brings in by connecting Gmail or texts, belongs to your firm. The owner can export all of it, any time, as JSON plus a spreadsheet file for each kind of record.

  • What we may do with them

    We use your firm’s records only to run LedgR for your firm, to keep it secure, to back it up, and to answer your requests, as the privacy policy describes. We do not sell them, use them for advertising, or use them to train AI models.

  • Your compliance

    LedgR helps you keep client records, including an activity log and records archive, but your firm remains responsible for its own regulatory obligations: books and records, client consent to record calls, communications rules, and anything your regulators ask of you. LedgR does not give investment, legal or tax advice, and nothing it summarizes or suggests is advice.

  • Connected accounts

    When someone connects Gmail, Google Voice or their Mac’s texts, they confirm they are allowed to bring that correspondence into the firm’s records. Google’s and Apple’s own terms continue to apply to those accounts.

Using LedgR

  • Fair use

    Please don’t use LedgR to break the law or anyone’s rights, to send spam, to store anything you have no right to hold, or to probe, overload or get around its security. Don’t copy, resell or reverse-engineer the service, or let people outside your firm use it.

  • The service itself

    LedgR, its software, design and name belong to Lanting Digital LLC. Your firm gets the right to use it while its plan is active. If you send us ideas or feedback, we may use them without owing you anything for them.

  • Changes and availability

    We keep improving LedgR, so features change. We work to keep it available and will tell you ahead of planned maintenance where we can, but we don’t promise it will never be interrupted. If we remove a feature your firm relies on, we will tell you first.

When it ends

  • Closing your firm

    The owner can close the firm from Settings. Its records leave LedgR, and the copies kept for the record-keeping period are held and then destroyed as the privacy policy sets out. Export first if you want your own copy.

  • Suspension

    We may suspend or end a firm’s access if bills go unpaid as described above, or if it seriously breaks these terms and doesn’t put it right within 14 days of our notice; sooner only where we must, to protect LedgR, other firms or the law. Either way, the owner can still export the firm’s records for 30 days.

The legal part

  • Warranties

    We provide LedgR with reasonable skill and care. Apart from that, it is provided “as is”, and to the extent the law allows we make no other promises, express or implied, including of merchantability or fitness for a particular purpose.

  • Limits of liability

    To the extent the law allows, neither side is liable to the other for indirect or consequential losses, or for lost profits or revenue, and our total liability under this agreement is limited to what your firm paid us in the 12 months before the claim. These limits do not apply to fraud, or to anything the law does not allow to be limited.

  • Indemnity

    If someone brings a claim against us because of records your firm put into LedgR without the right to, or because of how your firm used LedgR in breach of these terms, your firm will cover our reasonable costs of that claim.

  • Governing law

    These terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles, and disputes go to the state and federal courts in Riverside County, California. Before going to court, we will both try in good faith to settle it by talking first.

  • Changes to these terms

    When these terms change, we will post the new version here with a new date and, for a change that matters, email the owner at least 30 days before it takes effect. If you don’t agree, you can cancel before then.
